Every active LLC registered in Pennsylvania files an Annual Report with the Department of State by September 30 each year. The state fee is $7. The first report is due the year after formation or registration.

Who is the “governor” of an LLC?
For a manager-managed LLC, list the manager(s). For a member-managed LLC, list the member(s) who have the right to participate materially in management. A governor of an LLC may be a person or a business entity.
Officers
Most LLCs have no officers. List principal officers only if your LLC has them (for example, a CEO under its operating agreement).
Single-member and out-of-state LLCs
Single-member LLCs file like any other LLC. Foreign LLCs registered to do business in Pennsylvania also file by September 30.
Not-for-profit LLCs
An LLC with a not-for-profit purpose pays no state fee.
What the report asks for
- Name of the association
- Jurisdiction of formation
- Entity/file number issued by the Department of State
- Registered office in Pennsylvania — a street address, or the name of a commercial registered office provider (CROP) and county of venue — and any change to it
- Principal office address — and any change to it
- Name of at least one governor
- Names and titles of the principal officers, if any
