1. Who we are

File PA Annual Report (“we”, “us”) is a trade name of Fire Up LLC, 2393 Coney Island Ave, Brooklyn, NY 11223. File PA Annual Report is an independent filing-assistance service and is not affiliated with the Commonwealth of Pennsylvania or the Pennsylvania Department of State. You may file directly with Pennsylvania for the applicable state fee without using our service.

2. What we do

We provide document preparation and filing assistance for the Pennsylvania Annual Report (form DSCB:15-146). When you order, we use the information you give us to prepare your Annual Report and submit it to the Pennsylvania Department of State on your business’s behalf, and we send you the filed documents. Our free tools show publicly available business information and deadline calculations for general information.

3. Not legal advice

We are not a law firm and are not acting as your attorney. We do not give legal, tax or financial advice, and nothing on this site is legal advice. Questions about your legal obligations, your company’s governance or who may act for it should be directed to a licensed attorney.

4. Your responsibilities

  • You confirm that you are authorized to act for the business and to authorize the filing.
  • You are responsible for the accuracy and completeness of the information you give us. The Annual Report is a public filing made by your business, and statements in it are made under Pennsylvania law (15 Pa.C.S. § 142).
  • You must tell us promptly if anything you provided changes before we file.

5. Authorization

By signing our authorization you appoint us to prepare and submit your business’s Annual Report to the Pennsylvania Department of State as a service company. We submit what you authorized; if something needs to change, we contact you first. We keep a record of your authorization (your typed name, capacity, time, and technical details such as IP address) as evidence of your instructions.

6. Verification before filing

Before filing, we check the official Pennsylvania record. If the report you ordered is already filed, or the business is not required to file, we will not file and will refund you as described in our Refund Policy. We may decline or cancel any order (with a full refund) if we cannot verify it or if filing would be inaccurate or unlawful.

7. Pricing and payment

Our price is shown before you pay: our service fee and the Pennsylvania state fee are shown separately. Payments are processed by Stripe. We pass the state fee to Pennsylvania at cost.

8. Timing

We work through orders promptly and in deadline order. Pennsylvania processes online Annual Reports automatically, but we do not control the State’s systems and are not responsible for State outages or delays. Orders placed very close to a deadline may be filed after it; Pennsylvania does not charge a late fee.

9. Information on this site

Business records in our tools come from data published by the Pennsylvania Department of State, which is refreshed periodically and may be out of date. Deadline and status results are calculated from official rules and that data; they are provided as general information without warranty. Always rely on the official Pennsylvania record for legal purposes.

10. Limitation of liability

To the fullest extent permitted by law, our total liability for any claim relating to an order is limited to the amount you paid for that order, and we are not liable for indirect, incidental or consequential damages. If a filing is rejected or incorrect because of our error, we will correct and refile it at our cost or refund you in full.

11. Reminders and emails

If you opt in, we send reminder emails before your Annual Report deadlines. Every reminder includes an unsubscribe link. Order-related emails are part of the service.

12. Acceptable use

Do not use our tools to scrape, overload, or collect data in bulk, or to submit information you are not authorized to submit. We may rate-limit or block abusive use.

13. Governing law

These terms are governed by the laws of the State of New York, without regard to conflict-of-law rules. Courts located in Kings County, New York have jurisdiction, except where the law of your state requires otherwise.
