Who must file

The Pennsylvania Department of State lists these associations as required to file an Annual Report:

  • Business corporations and nonprofit corporations (domestic and foreign)
  • Limited liability companies (domestic and foreign)
  • Limited partnerships, including LLLPs (domestic and foreign)
  • Limited liability (general) partnerships (domestic and foreign)
  • Domestic electing partnerships that are not limited partnerships
  • Professional associations and business trusts (domestic and foreign)

Who does not file

Fictitious names, general partnerships that are not limited liability partnerships, authorities (all subtypes), name reservations, land banks, financial institutions and credit unions, name registrations, trademarks, and insignias and marks. Inactive associations — dissolved, terminated, merged out, withdrawn or cancelled — do not file.

The first year

A company’s first Annual Report is due the year after it forms in Pennsylvania or first registers as a foreign association.

Frequently asked questions

Do sole proprietors need to file a Pennsylvania Annual Report?

No. A sole proprietorship is not a filing association with the Department of State, and a fictitious (assumed) name registration does not file an Annual Report. If the business is an LLC — even a single-member LLC — it does file.

Do all Pennsylvania businesses file an Annual Report?

No. Most active corporations, LLCs, LPs, LLPs, business trusts and professional associations do — domestic and foreign. Sole proprietors, fictitious names, general partnerships that are not LLPs, authorities, land banks, credit unions and financial institutions do not.

Does a single-member LLC have to file?

Yes. Every active Pennsylvania LLC and every foreign LLC registered in Pennsylvania files, regardless of the number of members.

Does a nonprofit have to file?

Yes. Nonprofit corporations file by June 30, and Pennsylvania charges them no fee.

Is this the same as the Certificate of Annual Registration?

No. LLPs, LLLPs and restricted professional companies still file a separate Certificate of Annual Registration by April 15. The Annual Report does not replace it.
