Governors and officers of a corporation

List the directors as governors (for a statutory close corporation, a shareholder deemed a director). Directors must be natural persons.

List the principal officers. Every Pennsylvania corporation has a president, a secretary and a treasurer (or people acting as such); one person may hold several offices. The president and secretary must be natural persons of full age.

Foreign corporations

Corporations formed in another state and registered in Pennsylvania file by the same June 30 deadline.

Past June 30?

File as soon as possible — there is no state late fee. For reports due in 2027 and later, non-filing can lead to administrative dissolution (or termination of a foreign registration) six months after June 30.

  2. Jurisdiction of formation
  3. Entity/file number issued by the Department of State
  4. Registered office in Pennsylvania — a street address, or the name of a commercial registered office provider (CROP) and county of venue — and any change to it
  5. Principal office address — and any change to it
  6. Name of at least one governor
  7. Names and titles of the principal officers, if any
